
What’s Next — 30 June 2025 the Initial Filing Extension Deadline for Annual Returns Has Passed!
Note that the 30 June 2025 deadline applied only to BVI companies whose financial year ended was 31 December 2023. As stated below, companies with year ends from January 1, 2024, to December 31, 2024, also receive an extension; however, beginning with the year-end December 31, 2024, no further extensions are allowed.
Understanding Your Filing Timeline
For companies whose year-end was not December 2023, the same period of extension offered to companies with the December 2023 year end is offered so for example standard filing rule still applies: the annual return must be submitted within nine months of the company’s financial year-end. For example:
- 31 January 2024 year-end → Original filing date of 31 October 2024 is extended by nine months to July 31, 2024
- 29 February 2024 year-end → Original filing date of 31 November 2024 is extended by nine months to August 31, 2024
- 30 June 2024 year-end → Original filing date of 31 March 2025 is extended by nine months to December 31, 2025
- 31 October 2024 year-end → Original filing date of 31 July 2025 is extended by nine months to April 30, 2026
However please be aware that no extensions are allowed for financial year ends after 31 December 2024. Accordingly
- 31 December 2024 year-end → due by 30 September 2025 (no extension available)
- 31 March 2025 is due by 31 December, 2025
- 31 August 2025 is due by 31 May 2026
What Happens If You Miss the Deadline?
Your registered agent is required under Section 98A(4) of the BVI Business Companies Act to notify the Registrar of Corporate Affairs within 30 days of the missed deadline.
Failure to file the annual return on time can lead to penalties, The penalty for the first month is $300.00 and then the penalty accrues at the rate of $200.00 per month until it reaches a maximum penalty of $5,000.00 at which time the company may be struck off and dissolved.
From 1 July 2025, these non-compliance notifications will be sent via the VIRRGIN system, potentially triggering enforcement or regulatory scrutiny. It is therefore essential to act promptly.
From 1 July 2025 — Non‑Filing Alerts via VIRRGIN
Starting 1 July 2025, registered agents are required to submit non‑filing notifications to the BVI Registrar using the VIRRGIN system, in accordance with section 98A(4) of the BVI Business Companies Act (as amended).
